1.1 Introduction

1.1 Welcome to Checkatrade for Business. This service helps businesses access and book Checkatrade’s Tradespeople.

1.2 These terms govern Your use of Checkatrade for Business and set out the rights and obligations of Checkatrade and You in relation to the Checkatrade for Business Service (the "Agreement").

1.3 This Agreement is supplemental to the Platform Terms of use and the Privacy Notice , which govern Your use of the Platform and Our respective rights and obligations in relation to Personal Data. You must agree to and comply with Our Platform Terms of use in order to receive the Checkatrade for Business Service. Where there is any inconsistency between the terms of the Platform Terms of Use, and this Agreement, this Agreement shall take precedence.

1.4 In consideration of the provision of the Checkatrade for Business Service, You shall be charged the Subscription Fee on the monthly anniversary of the Commencement Date.

2 Commencement and duration

2.1 This Agreement takes effect from the date We confirm via a Confirmation Email that You have completed the signup process (the "Commencement Date").

2.2 If You wish to cancel after signing up, You have two ( 2 ) Business Days from the Commencement Date to do so without payment. You can cancel by emailing Us at business@checkatrade.com. If You do not cancel within this period, You agree to be bound by the Agreement, and Your Subscription will automatically renew on a monthly basis unless terminated in accordance with clause 15 (the "Term")

3 Authorised Representatives

3.1 You may appoint an Authorised Representative on the Platform, who can act on Your behalf for submitting Opportunities and managing Confirmed Appointments.

3.2 An Authorised Representative has no legal rights under this Agreement, including the right to terminate it. You remain responsible for their actions or omissions regarding this Agreement.

4 Use and Matching

4.1 Within the Platform, You can submit a request for services from a Tradesperson (“Opportunity”)

4.2 When You submit an Opportunity, You must provide sufficient information in order for the Tradesperson to ascertain whether they are appropriately qualified to complete the necessary Opportunity, including but not limited to:

  • Your Business name and contact details
  • address and access instructions for the Property
  • a range of dates and times for the Tradesperson attend the Opportunity
  • the Budget for the Opportunity
  • description of the Opportunity and/ or
  • pictures relevant to the Opportunity,
    the “Opportunity Criteria”.

4.3 The Platform will match the Opportunity based on the Opportunity Criteria with Tradespeople covering the local area of the Property.

4.4 If a Tradesperson confirms their availability, it will become a “Confirmed Appointment”. We will provide You with an email confirming the same. You and the Tradesperson will be able to contact each other within the Platform to finalise the arrangement. The Tradesperson will also be provided with the phone number of Your Authorised Representative to finalise the Confirmed Appointment.

4.5 If no Tradesperson confirms their availability within 24 hours of the last requested date and time, Your Opportunity will be cancelled .

4.6 All Opportunities are subject to acceptance by a Tradesperson. Tradespeople are not obligated to accept any customer request and may, at their discretion, decline for any reason.

4.7 Any engagement between You and a Tradesperson is solely between You and the Tradesperson, therefore We always recommend having a clear agreement in writing clearly setting out the Opportunity, Opportunity Criteria and Confirmed Appointment.

5 Your obligations

5.1 When using Checkatrade for Business Service, You shall:

  1. co-operate with Us in all matters relating to Checkatrade for Business Service
  2. ensure that You, Your Authorised Representative or Customer attends the Confirmed Appointment at the agreed location, date and time in a timely manner and at no charge
  3. inform the Tradesperson of all health and safety and security requirements that apply at the relevant Property
  4. ensure that any facilities required to perform the work (such as water and electricity supplies) are in good working order, suitable for purpose, and conform to all relevant United Kingdom standards or requirements and
  5. obtain and maintain all necessary licences and consents and comply with all relevant legislation as required to enable: (i) Us to provide Checkatrade for Business Service and (ii) for the Tradesperson to provide the Trade Services, including in relation to access to the Property and use of the facilities and equipment, in all cases before the date on which the Trade Services are to be carried out .

5.2 You are responsible for Your own acts and omissions and are also responsible for the acts and omissions of anyone You allow to participate in communicating with Us and any Tradespersons, in relation to Checkatrade for Business Service and Trade Services.

5.3 You acknowledge that if Our obligations under this Agreement or the Trade Services are delayed or prevented by Your actions or omissions (including those of your Customers, agents, subcontractors, or employees), We are not liable for any resulting delays in the performance of the Checkatrade for Business Service or Trade Services .

5.4 You shall indemnify Us against any losses We incur as a result of Your failure to comply with this clause 5.

6 Amending the Budget

6.1 Sometimes the Budget may need to be adjusted following the provision or receipt of further information or a change in circumstances . In this scenario, any revision to the Budget must be negotiated and agreed between the relevant Tradesperson and Yourself and amended in accordance with clause 6.2 as soon as reasonably possible, and in any event prior to the commencement of the Trade Services.

6.2 If You and the Tradesperson agree for the Budget to be:

  • increased, You must change the Budget on the Platform or
  • decreased, You must notify Us and request for the Budget to be changed,
    the “Amended Budget”.

7 Cancelling a Confirmed Appointment

7.1 We understand that sometimes You may need to cancel a Confirmed Appointment . In the event that You need to cancel, You must notify Us and the Tradesperson of Your decision to cancel as soon as possible on the Platform .

7.2 If You cancel a Confirmed Appointment with more than twenty-four ( 24 ) hours' notice prior to the Confirmed Appointment, the Opportunity will be removed from the Platform.

7.3 If You cancel a Confirmed Appointment with less than:

  • twenty-four ( 24 ) but more than two ( 2 ) hours' notice prior to the Confirmed Appointment:
    • You shall be charged the lesser of £75 or 25% of the Budget
    • the Tradesperson shall be notified
  • two ( 2 ) hours’ notice prior to the Confirmed Appointment:
    • You shall be charged the lesser of £150 or 50% of the Budget
    • the Tradesperson shall be notified and
    • Your Opportunity will be removed from the Platform .

7.4 If the Tradesperson has arrived at the Property but is unable to gain access to the Property and/or You, Your Authorised Representative or Customer are unresponsive, You shall be charged:

  • a no access fee of £100 in respect of the costs of the relevant Tradesperson and
  • if the Opportunity is not rescheduled, the lesser of £100 or 50% of the Budget .

7.5 If the Tradesperson has arrived at the Property but notifies You and Us that the Opportunity Criteria was not an accurate description of the Opportunity and requires further work than anticipated, You will be charged:

  • a fee of £100 in respect of the costs of the relevant Tradesperson and
  • the lesser of £100 or 50% of the Budget as a cancellation fee.

8 Completion of an Opportunity

8.1 When a Confirmed Appointment has been completed in all material respects, You or Your Authorised Representative must within the timeframe set out in the email notification sent by Us (“Confirmation Request”), either:

  • confirm on the Platform by digital signature of You or Your Authorised Representative or
  • notify the Tradesperson of any rectification works You consider should be carried out.

8.2 If You do not confirm completion or notify the Tradesperson of any such rectification works within the timeframe set out in the Confirmation Request, the Opportunity shall be deemed complete on the date that is three ( 3 ) Business Days after Our Confirmation Request, and You will be charged an amount equivalent to the Budget.

9 Charges and payment

Subscription Fees

9.1 We reserve the right to increase the Subscription Fee from time to time (“Revised Subscription Fee”). Any such changes will take effect from the start date of Your next billing cycle, provided that We have given You not less than 30 days' notice .

9.2 If You do not wish to continue with Your Subscription at the Revised Subscription Fee, You shall be entitled to terminate this Agreement in accordance with clause 15.4, provided that You do so before the Revised Subscription Fee takes Effect. In that case, You will continue to pay the Subscription Fee until the end of Your notice period .

9.3 If You do not give notice to end Your Subscription before the Revised Subscription Fee takes effect, You will be deemed to have accepted the Revised Subscription Fee.

Budget

9.4 Upon submission of an Opportunity, payment for an amount equivalent to the Budget in clear funds shall be authorised Our Payment provider .

9.5 Upon Your confirmation that the Opportunity has been completed in accordance with clause 8.1, deemed completion in accordance with clause 8.2 or cancellation of a Confirmed Appointment in accordance with clause 7.3, clause 7.4, or clause 7.5, You shall be charged the Budget or if applicable the Amended Budget.

9.6 Without prejudice to any other right or remedy that You may have, if You fail to pay either the Subscription Fees or the Budget due under this Agreement or as invoiced on the due date:

  • until payment of the overdue sum, You shall have no entitlement to the Checkatrade Guarantee
  • You shall pay interest on the overdue sum from the due date until payment of the overdue sum, whether before or after judgment. Interest will accrue each day at 4% a year above the Bank of England's base rate from time to time, but at 4% a year for any period when that base rate is below 0% and
  • We may suspend or cease the supply of all or part of the Checkatrade for Business Service until payment has been made in full .

9.7 All sums payable by You under this Agreement:

  • are inclusive of VAT and
  • shall be paid in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law).

10 Marketing and Intellectual Property Rights

10.1 Neither party may use the other's name, logo, or trademarks in marketing materials without prior written consent. If consent is given, each party must follow the instructions provided by the other regarding the use of their name, logo, and trademarks.

11 Data protection

11.1 Any Personal Data that We receive under and/or in connection with this Agreement will be dealt with in line with Our Privacy Policy.

12 Confidentiality

12.1 Both We and You undertake to not at any time during the Term, and for a period of 1 year after termination or expiry of this Agreement, disclose to any person any confidential information concerning the business, affairs, customers, clients or suppliers of the other party, except as permitted by clause 12.2.

12.2 Disclosure is permitted to employees or contractors who need the information to fulfil obligations under this Agreement, provided they comply with this confidentiality requirement, or as required by law or court orders.

13 Limitation of liability

13.1 Under this Agreement We are responsible for the supply of Checkatrade for Business Service only and are not liable for supply or quality of any Trades Services provided to You by the Tradespersons . We expressly exclude responsibility for any claim by You against a Tradesperson arising out of or in connection with a Tradesperson acting, or omitting to do something, in breach of their agreement with You or with any applicable law or regulations.

13.2 We are not liable for losses like profit, business, contracts, savings, data, or reputation, or for any indirect or unforeseeable losses, or things outside our control.

13.3 Subject to clause 13.5, Our total liability is capped at the lower of £5,000 or the total Subscription Fees paid.

13.4 We do not give any guarantees about the availability, quality, or performance of the Checkatrade for Business Service unless stated in this Agreement.

13.5 Nothing in the Agreement limits or excludes liability for fraud, death or personal injury caused by negligence, or anything else that the law doesn’t allow us to limit or exclude.

14 Suspension

14.1 We reserve the right to suspend the Checkatrade for Business Service in the event We have reasonable cause to do so. Should We need to suspend the Checkatrade for Business Service, We will notify You of the period of suspension, the reason for doing so and the action We need You to take so that We can reinstate the Checkatrade for Business Service .

14.2 At the end of the period of suspension, We may in Our sole discretion and on notice extend the suspension to allow any outstanding issues to be remedied or We may elect to terminate the Agreement .

14.3 Suspension shall be entirely without prejudice to Your obligation to pay the Subscription Fees which shall remain due and payable in accordance with the Agreement.

15 Termination

15.1 We may terminate the Agreement for any reason at any time by giving You no less than 14 days’ notice.

15.2 We may terminate or suspend Your Subscription and/or Your right to use and access the Checkatrade for Business Service immediately on notice and at Our discretion for any one or more of the following reasons:

  1. material breach of the Agreement
  2. serious complaints or high volumes of complaints
  3. unacceptable behaviour or language
  4. liquidation, bankruptcy, or similar financial issues
  5. providing false or incomplete information
  6. infringing Our intellectual property
  7. actions that could damage Our reputation
  8. failure to pay any charges or fees
  9. inactivity of your Subscription for over one year or
  10. involvement in a police or government investigation.

15.3 Without prejudice to clause 15.5, in the event of Us terminating or suspending Your Subscription We shall have no liability towards You or any third party.

15.4 You may terminate Your Subscription at any time by providing not less than one ( 1 ) months' notice in writing to business@checkatrade.com. Termination will take effect on the last day of Your next full billing cycle following the date We receive Your termination notice. You remain liable for the Subscription Fees up to and including the date of termination .

15.5 Upon termination, all rights granted to You will cease, but Our rights to claim damages for breaches prior to termination remain.

16 Consequences of termination

16.1 If We terminate the Agreement as per clause 15.1, You will receive a pro-rated refund of any Subscription Fees paid in advance for services due after termination.

16.2 If You terminate this Agreement in accordance with clause 15.4, You shall not receive a refund of any Subscription Fees.

16.3 Upon termination in accordance with clause 15.2:

  • You shall immediately pay all outstanding Subscription Fees and interest and
  • We shall process any remaining Subscription Fees due as a lump sum using Your provided payment details. Should We be unable to retrieve payment due to Us We shall pursue this as a debt .

16.4 In the event of termination:

  • termination shall be without prejudice to the rights of either Us or You which accrued prior to the date of such termination including any payment obligations
  • We will retain Your information for a reasonable period to allow Us to deal with any correspondence, complaints or legal and/ or regulatory purposes and
  • You must refrain from implying any ongoing association or endorsement by us after termination.

17 Variations

17.1 We may update these Terms and will typically provide at least 15 days’ notice via email or other means. A longer notice period may be given if necessary for You to adapt to the changes. However, We may change these terms immediately if:

  • required by law
  • the changes are editorial and do not alter the content or meaning
  • we have a legal obligation that prevents advance notice or
  • there is an unforeseen risk related to the Checkatrade for Business Service, such as fraud or cybersecurity threats.

Schedule 1 – Definitions

In this Agreement, capitalised words and phrases shall have the following meanings:

Agreement has the meaning set out in clause 1.2.

Authorised Representative is a person nominated by You to manage the receipt of the Checkatrade for Business Service on Your behalf.

Budget means the price payable to the Tradesperson is for the Trade Services.

Business Day means a day, other than a Saturday, Sunday or public holiday in England, when banks in London are open for business.

Commencement Date has the meaning set out in clause 2.1.

Confirmation Email means an email from Checkatrade to You which confirms (i) Our agreement to provide the Checkatrade for Business Service; and (ii) the associated Subscription Fees, on the terms of this Agreement, as it may be amended from time to time.

Confirmed Appointment has the meaning set out in clause 4.3.

Controller, Processor, Data Subject, Personal Data, Personal Data Breach and Process/Processing/Processed have the meanings given to them in the Data Protection Legislation.

Platform means the Website, the Checkatrade Apps and any other web or mobile platform We host and the related pages, sub-domains and tools, content, blogs and other information or subject matter contained therein.

Platform Terms of Use means the terms and conditions governing the use of the Platform here.

Property means the location of the Opportunity.

Subscription means Your account with Us the details of which have been confirmed in a Confirmation Email.

Subscription Fee means the fee payable by You, for the provision of Checkatrade for Business Service as set out in the Confirmation Email.

Opportunity Criteria has the meaning set out in clause 4.2.

Term has the meaning given to it in clause 2.1.

Opportunity has the meaning given to it in clause 4.1.

Checkatrade Guarantee means the Checkatrade Guarantee as set out here (as amended from time to time).

Customer means a customer of Yours.

Data Protection Legislation means the EU GDPR in such form as incorporated into the law of England and Wales, Scotland and Northern Ireland by virtue of the European (Withdrawal) Act 2018 and any regulations thereunder "UK GDPR", the Data Protection Act 2018 and any other applicable law from time to time, relating to the processing of personal data and privacy in England and Wales, Scotland and Northern Ireland.

EU GDPR means Regulation (EU) 2016/679 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data.

Checkatrade for Business Service shall be the service within the scope of Your Subscription to be supplied by Us to You and which is comprised of: (i) Our assistance in seeking to arrange a Confirmed Appointment; (ii) as appropriate, the exchange of contact details to allow for any on the day scheduling required (subject to Your consent to the same; (iii) as relevant, notifying You of confirmation of completion of the relevant Opportunity in accordance with this Agreement, and (v) Our other obligations on Us expressly set out in this Agreement. The Checkatrade for Business Service does not include the supply or performance of any Trade Service. [4, 5]

Trade Services means the relevant services to be provided by a Tradesperson in relation to the Opportunity for the Budget.

Tradesperson means an Approved Tradesperson (as defined in the Master Service Terms) (and Tradespeople shall be construed accordingly).

Website means www.checkatrade.com (and all other domains that We may own, operate or control from time to time).

Working Hours means 09:00 – 17:00 UK time on Business Days

Writing or Written means any method of reproducing words in a legible and non-transitory form, including email but excluding fax.
